Virtual Financial Coach Terms and Conditions of Use

Plancorr Wealth Management (herein referred to as PWM), offers you Virtual Financial Coach (herein referred to as VFC), an on-demand, on line educational and information service. By using VFC, you agree to be bound by all of the terms in this Terms and Conditions agreement. If you do not fully agree with this Terms and Conditions Agreement, do not use VFC. Your failure to follow this Terms and Conditions Agreement may result in termination of your access to VFC by PWM, without notice and in addition to any other remedies available to PWM.

PWM may change the terms in this Agreement at any time. When the terms are changed, PWM will notify you by using the email account you have provided to us to use VFC. By using VFC after any change in the Agreement has been emailed to you, you agree to be bound by all of the changes as well.

COPYRIGHT AND LIMITATIONS ON USE

The information available through VFC is the property of PWM and others and is protected by copyright and other intellectual property laws.

Except as provided below without the prior written consent of PWM, you agree not to:

• Store, post or otherwise archive the articles or other materials from VFC on a personal computer, local or wide area networks, online services, electronic bulletin boards or forums, World Wide Web sites or any other server that is Internet-enabled;
• Reproduce, retransmit, distribute, sell, publicly display, publish, post to newsgroups or electronic bulletin boards, or broadcast the information received through VFC to anyone, including to others in the same company or organization;
• Create abstracts from, scrape or display headlines from VFC for use on another web site or service; or frame, or use other means of redirecting, VFC content;
• Modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.
• Copy or reproduce Plancorr Wealth Management, LLC™, Virtual Financial Coach™, Budget Badger™, Fast Track to Financial Success™, Money Coach™ and design logos or trademarks and service marks owned by or licensed to Plancorr Wealth Management without the express written approval of Plancorr Wealth Management. You may not use the trademarks or service marks for any purpose.

SUBSCRIPTION

• VFC is available on a 7-Day Trial subscription basis. Once the trial period has expired, and the user has not cancelled his or her subscription service during the trial period, the user will be billed $39.95 per month until the user cancels the subscription service or
• VFC is made available to you on a month-to-month or annual subscription basis. If you are on the month-to-month plan, you may cancel your VFC subscription at any time. If you have purchased VFC on an annual subscription basis, you will have 3-days from your initial subscription purchase to cancel and receive a full refund. If you do not cancel your annual subscription plan within 3-days of the initial purchase, you will NOT be able to terminate the contract for twelve months and there will be NO refund. And you will need to notify PWM in writing of your request to terminate your use of VFC thirty days prior to your subscription anniversary date or your account will be debited for another year of VFC subscription services (Annual Plan Only). PWM may discontinue or change VFC or its availability to you, at any time without notice. This Agreement is personal to you, and you may not transfer, share or assign your rights or obligations to anyone. If any provision of this Agreement is invalid under applicable law, the remaining provisions will continue in full force and effect. The Privacy Policy and this Terms and Conditions Agreement are, together, the complete and entire agreement between you and PWM and supersede any prior agreement, whether oral or written. This agreement may be canceled at any time by either party for any reason.

DISCLAIMER OF WARRANTIES AND LIABILITY

• Due to the number of sources from which information on VFC is obtained, and the inherent hazards of electronic distribution, there may be delays, omissions or inaccuracies in such information, and may include facts, views, opinions and recommendations of individuals and organizations deemed of interest. PWM does not guarantee the accuracy, completeness or timeliness of, or otherwise endorse these views, opinions or recommendations. Services offered through VFC are not to be construed as financial or legal advice and is to be used for educational purposes only. Please consult with qualified financial, tax and legal professionals before starting any retirement, financial or tax planning strategy or scheme. Any claims guarantee offered by an insurance company is based on the claims paying ability of the insurance company. Annuities are not FDIC insured and may lose value. Withdrawals from an annuity prior to age 59 �� may result in an IRS 10% early withdrawal penalty. None of the content offered in VFC is to be construed as an offer to buy or sell securities. LIMITATIONS OF LIABILITY

THE SERVICE AND ANY OTHER CONTENT, DATA, CALCULATIONS OR INFORMATION PROCESSED BY OR TRANSMITTED BY PLANCORR WEALTH MANAGEMENT, LLC. AND VIRTUAL FINANCIAL COACH (COLLECTIVELY, "PWM CONTENT") ARE PROVIDED BY PLANCORR WEALTH MANAGEMENT, LLC "AS IS", ALL EXPRESSED OR IMPLIED WARRANTIES AND REPRESENTATIONS OF ANY KIND WITH RESPECT TO THE SERVICE AND PWM CONTENT ARE HEREBY DISCLAIMED, INCLUDING, BUT NOT LIMITED TO, (A) WARRANTIES AS TO MERCHANTABILITY OR USE FOR A PARTICULAR PURPOSE (INCLUDING INVESTMENT DECISIONS), WHETHER OR NOT PLANCORR WEALTH MANAGEMENT, LLC KNOWS OR HAS REASON TO KNOW OR HAS BEEN ADVISED OF ANY SUCH PURPOSE, (B) WARRANTIES AS TO ANY RESULTS TO BE OBTAINED FROM ANY USE OF THE SERVICE OR PWM CONTENT OR INFORMATION DERIVED FROM THE SERVICE OR PWM CONTENT OR (C) ANY REPRESENTATION OR WARRANTY THAT THE SERVICE'S RESULTS ARE IN ANY WAY GUIDANCE FOR ANY INVESTOR OR INVESTORS IN GENERAL TO DETERMININE THE SUITABILITY OR DESIRABILITY OF AN INVESTMENT IN A PARTICULAR SECURITY, OR SECURITIES IN GENERAL. TO THE EXTENT THAT ANY I MPLIED WARRANTIES CANNOT BE DISCLAIMED UNDER APPLICABLE LAW, ANY SUCH IMPLIED WARRANTIES ARE LIMITED IN DURATION TO THIRTY (15) DAYS FROM THE DELIVERY DATE.

IN NO EVENT SHALL PLANCORR WEALTH MANAGEMENT HAVE ANY LIABILITY FOR ANY LOSSES (WHETHER DIRECT OR INDIRECT, IN CONTRACT, TORT OR OTHERWISE) INCURRED IN CONNECTION WITH THE SERVICE OR PWM CONTENT, INCLUDING BUT NOT LIMITED TO LOST REVENUE OR PROFIT, LOST OR DAMAGED DATA, DAMAGE TO OR INTERRUPTION OF ANY LOCAL AREA NETWORK, INTRODUCTION OF VIRUSES, WORMS OR OT HER DESTRUCTIVE PROGRAMS OR ANY OTHER COMMERCIAL OR ECONOMIC LOSS, OR FOR ANY DECISION MADE OR ACTION TAKEN BY ANY PERSON IN RELIANCE UPON THE SERVICE (OR ITS RESULTS) OR PWM CONTENT, OR FOR ANY DELAYS, INACCURACIES, ERRORS IN, OR OMISSIONS OF THE SERVICE OR ANY PWM CONTENT. THE MAXIMUM AGGREGATE LIABILITY OF PLANCORR WEALTH MANAGEMENT AND PWM AND ITS AGENTS, REPRESENTATIVES AND EMPLOYEES IN CONNECTION WITH THIS LICENSE OR THE SERVICE, WHETHER IN TORT, CONTRACT OR OTHERWISE, SHALL NOT EXCEED THE LICENSE FEE PAID BY YOU FOR THE USE OF THE SERVICE GOVERNED BY THIS LICENSE.

MISCELLANEOUS

Through your use of VFC, you may be provided with hyperlinks to other Internet sites or resources. PWM has no control over those sites and resources. You agree that PWM will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such information, goods or services available on or through any such site or resource.

This Agreement, all intellectual property issues, and your rights and obligations shall be governed by the laws of the United States of America and the State of Maryland governing contracts wholly entered into and wholly performed within Maryland and any action to enforce this Terms and Conditions agreement or in any manner related to VFC shall be brought exclusively in the federal or state courts located in Baltimore, Maryland and you agree to submit to the jurisdiction of such courts.
